Terms of Service

1. Agreement

These Terms of Service govern access to and use of Trove, including the VST3 plugin, local helper application, website, accounts, cloud sync services, downloads, and related software and services. These Terms are a binding agreement between you and Omnia Technologies LLC.

By installing, accessing, or using Trove, you agree to these Terms. If you do not agree, do not install, access, or use Trove.

2. Eligibility

You must be at least 18 years old, or the age of legal majority where you live, to use Trove. If you use Trove for a company, studio, label, publisher, collective, or other organization, you represent that you have authority to bind that organization to these Terms.

3. What Trove Does

Trove helps users create, manage, restore, share, and sync music project checkpoints. Trove is not a backup guarantee, archival guarantee, rights-clearance service, publishing service, distribution service, or legal service.

Trove does not guarantee that every file, plugin setting, preset, sample, recording, automation lane, host-specific setting, sidecar file, or project dependency will be captured, restored, parsed, displayed, or synced without error.

4. Software License

Subject to these Terms, Omnia Technologies LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Trove for personal or internal business music-production purposes.

You may not sell, rent, lease, sublicense, host, copy, modify, distribute, reverse engineer, decompile, or create derivative works from Trove except where these Terms allow it or applicable law prohibits that restriction.

5. Your Music And Project Files

You retain all rights to your songs, recordings, samples, stems, project files, notes, artwork, checkpoint history, metadata, and other content. These Terms do not transfer ownership of your content to Omnia Technologies LLC.

You are solely responsible for your content and for having all rights, licenses, permissions, and clearances required for any samples, loops, presets, recordings, plugin content, artwork, or other third-party materials in your projects.

6. License To Operate Trove

You grant Omnia Technologies LLC a limited license to access, copy, store, process, transmit, display, and create technical copies of your content only as needed to provide, maintain, secure, troubleshoot, support, and improve Trove.

This license includes the right to process project files, checkpoint data, metadata, previews, notes, account data, device data, and sync data when those actions are necessary to operate Trove.

7. Local Files, Checkpoints, And Restores

Restoring a checkpoint may overwrite, replace, delete, move, or modify files in a project folder. You are responsible for reviewing restore actions before confirming them.

You should keep separate backups of important projects. Trove is one tool for managing versions. It is not a substitute for independent backups of critical work.

8. Cloud Sync And Sharing

If you enable cloud sync, Trove may upload, store, process, and transmit project files, checkpoint data, metadata, previews, notes, and related content. If you disable cloud sync, Trove is intended to keep project file content local except for account data, telemetry, diagnostics, support data, or other data described in the Privacy Policy.

If you invite collaborators or create share links, you are responsible for the access you grant. People with access may view, download, copy, modify, or redistribute content depending on the permissions you choose and the features available at the time.

9. Accounts And Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must promptly notify Omnia Technologies LLC of unauthorized access or suspected security issues.

Omnia Technologies LLC may suspend or restrict access if it reasonably believes your account has been compromised, is being misused, or creates legal, security, operational, or financial risk.

10. Prohibited Conduct

You may not use Trove to violate law, violate third-party rights, distribute malware, interfere with Trove operation, bypass technical limits, scrape or extract data without permission, access another user account, overload infrastructure, or use Trove to store or share unlawful content.

You may not resell Trove, provide Trove as a managed service, or use Trove to build a competing product without written permission from Omnia Technologies LLC.

11. Payments, Plans, And Renewal

Paid plans are billed in advance. Prices, billing intervals, plan limits, renewal terms, cancellation methods, and refund terms will be disclosed before purchase.

If a plan renews automatically, you authorize recurring charges until you cancel. You must cancel before the renewal date to avoid the next charge.

12. Cancellation And Refunds

You may cancel a paid plan through the account billing page or any other cancellation method provided by Omnia Technologies LLC. Cancellation stops future billing. Cancellation does not automatically refund past charges.

Fees are non-refundable except where required by law or expressly stated in writing by Omnia Technologies LLC.

13. Beta Features

Beta, preview, experimental, or pre-release features are provided as-is. They may be changed, limited, suspended, or removed at any time. Do not rely on beta features as the only place where important work is stored.

14. Updates And Changes To Trove

Trove may update automatically or require manual updates. Updates may add, modify, limit, suspend, or remove features. Continued use after an update means you accept the updated software and services.

Omnia Technologies LLC may change, suspend, or discontinue Trove or any part of Trove at any time, subject to applicable law.

15. Third-Party Services

Trove may depend on third-party services for authentication, payments, storage, hosting, analytics, error reporting, delivery, or other functions. Omnia Technologies LLC is not responsible for third-party services, terms, outages, data loss, security incidents, or changes.

16. Privacy

Use of Trove is subject to the Privacy Policy. The Privacy Policy describes what data Trove collects, how that data is used, how it is shared, and how users may exercise privacy rights.

17. Copyright Complaints

If you believe content available through Trove infringes your copyright, send a notice to cezar@trove.dance with the information required by applicable law. Omnia Technologies LLC may remove or disable access to content and may terminate repeat infringers where required or appropriate.

18. Disclaimers

Trove is provided as-is and as-available. To the fullest extent permitted by law, Omnia Technologies LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, uninterrupted operation, error-free operation, and data preservation.

You use Trove at your own risk. You are responsible for saving your DAW project, checking restored files, maintaining backups, confirming collaborator permissions, and verifying that project files open and work as expected.

19. Limitation Of Liability

To the fullest extent permitted by law, Omnia Technologies LLC will not be liable for lost profits, lost revenue, lost data, lost music projects, lost recordings, lost samples, lost presets, lost opportunities, business interruption, reputational harm, or indirect, incidental, consequential, special, exemplary, or punitive damages.

To the fullest extent permitted by law, Omnia Technologies LLC's total liability for all claims relating to Trove or these Terms will not exceed the greater of the amount you paid to Omnia Technologies LLC for Trove in the 12 months before the claim or $100.

20. Indemnity

You will defend, indemnify, and hold harmless Omnia Technologies LLC and its officers, directors, employees, contractors, agents, affiliates, and licensors from any claim, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising from your content, your use of Trove, your violation of these Terms, your violation of law, or your violation of third-party rights.

21. Termination

Omnia Technologies LLC may suspend or terminate your access to Trove if you violate these Terms, fail to pay fees, create risk, misuse Trove, or use Trove in a way that may cause legal, security, operational, or financial harm.

You may stop using Trove at any time. After termination, your software license ends. Local files may remain on your device. Cloud-stored content may be deleted according to Omnia Technologies LLC's retention practices and applicable law.

22. Governing Law And Venue

These Terms are governed by the laws of Wyoming, excluding conflict-of-law rules. The state and federal courts located in Wyoming will have exclusive jurisdiction over disputes that are not required to be resolved by another mandatory process.

23. Changes To These Terms

Omnia Technologies LLC may update these Terms from time to time. Material changes will be posted on this page or sent by notice. Continued use of Trove after the effective date of updated Terms means you accept the updated Terms.
